These terms and conditions (“Terms”) govern your use of Tariffs.help, a cloud-based software-as-a-service (SaaS) platform for customs code classification, provided by Golden Planet ApS (“we”, “us”, “our”).
By creating an account or using our service, you agree to be bound by these Terms.
1. Important: Disclaimer for Customs Codes
IMPORTANT: READ THIS SECTION CAREFULLY
Tariffs.help provides automated suggestions for HS codes (Harmonized System) based on the product data you provide. These suggestions are generated using artificial intelligence and machine learning.
1.1 Your Obligations
- All HS code suggestions provided by Tariffs.help are for guidance only and should be considered as suggestions, not as final classifications.
- You are solely responsible for verifying, validating, and making the final decision on which HS code to apply to your products.
- You are obligated to ensure that the HS code used is correct according to applicable customs and tax legislation in the relevant jurisdictions.
1.2 Our Limitation of Liability
- We assume no liability for consequences, losses, damages, fines, delays, or other costs that may arise from the use of the HS code suggestions we provide.
- We do not guarantee that the suggested HS codes are correct, complete, or up-to-date.
- We assume no responsibility for any errors, inaccuracies, or outdated information in our HS code database.
1.3 Recommendations
We strongly recommend that you:
- Consult a professional customs broker or customs expert
- Verify all HS code suggestions with the relevant customs authorities
- Stay updated with changes in customs legislation
- Document your decision-making process for customs classification
2. Service Description
Tariffs.help is a SaaS platform that offers:
- AI-powered HS code search: Automatic suggestions for HS codes based on product descriptions
- Bulk import: Upload of product lists via Excel or CSV
- API access: Integration with your webshop or ERP system
- Multilingual support: Search in Danish, English, and German
- Updated database: Regular synchronization with EU customs regulations
3. Account Creation and Access
3.1 Account Requirements
To use Tariffs.help, you must:
- Be at least 18 years old
- Provide accurate and complete information during registration
- Maintain the security of your account and password
- Immediately notify us of any unauthorized use of your account
3.2 Business Accounts
If you register on behalf of a company or organization:
- You warrant that you have the authority to bind the company to these Terms
- Both you and the company are bound by these Terms
3.3 Account Security
You are responsible for:
- All activity on your account
- Maintaining the confidentiality of your login credentials
- Immediately notifying us of any suspected security breach
4. Subscription and Payment
4.1 Price Plans
We offer different subscription plans with varying features and prices. Current prices can be found on our website under Pricing.
4.2 Payment Terms
- Subscriptions are billed in advance for each billing period (monthly or annually)
- Payments are processed via secure third-party payment providers
- All prices are stated exclusive of VAT, unless otherwise specified
- We accept credit cards and other payment methods as indicated at checkout
4.3 Renewal and Termination
- Subscriptions renew automatically unless terminated
- You can terminate your subscription at any time, effective at the end of the current billing period
- In accordance with the EU Data Act, you have the right to terminate with a maximum of two months’ notice
- No refunds for unused time after termination
4.4 Free Trial Period
We may offer a free trial period for new users:
- The trial period is limited to once per user/company
- Upon expiration of the trial period, your account will automatically convert to the selected paid subscription
- You can cancel before the trial period expires to avoid payment
4.5 Non-Payment
In case of non-payment, we reserve the right to:
- Suspend your access to the service
- Charge fees for late payments
- Terminate your account after 30 days
5. Data Processing and Privacy
5.1 Data Protection
Your use of Tariffs.help is also subject to our Privacy Policy, which describes how we collect, use, and protect your personal data.
5.2 Your Data
- You retain all rights to the data you upload to Tariffs.help
- We process your data solely to provide the service
- We never sell your data to third parties
- You can export or delete your data at any time
5.3 GDPR Compliance
We fully comply with the EU General Data Protection Regulation (GDPR). See our Privacy Policy for details on your rights.
6. Data Portability and Switching Providers
In accordance with the EU Data Act (Regulation (EU) 2023/2854):
6.1 Data Export
You have the right to export all your data in a structured, commonly used, and machine-readable format.
6.2 Switching Providers
- We will remove all contractual and technical barriers to switching providers
- The transition period may not exceed 30 days
- We will ensure the secure transfer of all your data and digital assets
- No additional fees for data export or assistance with switching providers
6.3 Assistance with Switching
We offer reasonable assistance with:
- Exporting your data
- Technical support during the transition period
- Documentation of data formats
7. Intellectual Property Rights
7.1 Our Rights
The Tariffs.help platform, including all software, design, text, graphics, and other content, is protected by copyright and other intellectual property rights. These rights belong to Golden Planet ApS or our licensors.
7.2 Limited License
We grant you a limited, non-exclusive, non-transferable license to use Tariffs.help in accordance with these Terms.
You may not:
- Copy, modify, or distribute our software
- Reverse engineer or decompile the platform
- Remove copyright notices or other proprietary rights
- Use the platform to develop competing products
7.3 User-Generated Content
Product descriptions and data that you upload remain your property. However, you grant us a license to process this data to provide the service.
8. Acceptable Use
You agree not to:
- Use the service for illegal purposes or in violation of applicable law
- Upload malicious files, viruses, or other harmful code
- Attempt to gain unauthorized access to our systems or other users’ accounts
- Use bots, scrapers, or automated tools without prior permission
- Misuse the API or overload our systems
- Resell or redistribute the service without written permission
- Share your account or login information with third parties
- Use the service to infringe on the intellectual property rights of others
Violation of these rules may result in immediate termination of your account.
9. Service Guarantees and Uptime
9.1 Availability
We strive to maintain high uptime and availability, but we do not guarantee that the service will be available 100% of the time.
9.2 Scheduled Maintenance
We reserve the right to perform scheduled maintenance and updates. We will attempt to provide advance notice for major maintenance work.
9.3 No Warranty
The service is provided “as is” and “as available” without warranties of any kind, either express or implied.
We do not guarantee:
- That the service will meet your specific requirements
- That the service will be error-free or uninterrupted
- That results obtained through the service will be accurate or reliable
10. Limitation of Liability
10.1 Liability for Damages
To the extent permitted by applicable law:
- Our total liability to you is limited to the amount you have paid to us in the last 12 months
- We are not liable for indirect, incidental, special, or consequential damages
- We are not liable for loss of profit, data, goodwill, or other intangible losses
10.2 Exceptions
The limitations of liability do not apply to:
- Damages caused by gross negligence or willful misconduct
- Personal injury or death
- Obligations that cannot be excluded by law
11. Indemnification
You agree to indemnify Golden Planet ApS, our directors, employees, and partners from claims, losses, or damages (including attorney fees) arising from:
- Your use of Tariffs.help
- Your violation of these Terms
- Your infringement of third-party rights
- Your use of HS code suggestions without sufficient verification
12. Termination
12.1 Termination by You
You can terminate your account at any time by:
- Logging into your account and following the termination procedure
- Contacting our customer support at support@tariffs.help
12.2 Termination by Us
We may terminate or suspend your account immediately if:
- You violate these Terms
- You fail to pay amounts due
- We are obligated to do so by law
- We discontinue the service
12.3 Effect of Termination
Upon termination:
- Your access to the service will cease immediately
- You have 30 days to export your data
- We may delete your data after 30 days
- You remain responsible for any amounts due
13. Changes to Terms
13.1 Right to Changes
We reserve the right to change these Terms at any time.
13.2 Notice of Changes
- We will notify you of significant changes at least 30 days in advance via email or notification within the platform
- Minor changes take effect immediately upon publication
- Your continued use of the service after the changes constitutes acceptance of the new Terms
13.3 Rejection of Changes
If you do not accept changes, you must terminate your account before the new Terms take effect.
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by Danish law.
14.2 Arbitration
Disputes shall first be sought to be resolved amicably through direct negotiation.
14.3 Jurisdiction
If negotiation fails, the courts in Kolding, Denmark have exclusive jurisdiction.
14.4 EU Consumers
If you are a consumer in the EU, you have the right to use the EU’s online dispute resolution platform: https://ec.europa.eu/consumers/odr
15. Miscellaneous Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Golden Planet ApS.
15.2 Partial Invalidity
If any provision of these Terms is invalid or unenforceable, the remaining provisions will remain in effect.
15.3 No Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right.
15.4 Assignment
You may not assign your rights under these Terms without our prior written consent. We may freely assign our rights.
15.5 Force Majeure
We are not responsible for delays or failure to perform due to circumstances beyond our reasonable control.
